King Living - Terms and Conditions of Sale (U.S.A) 

 

1.  INTRODUCTION

1.1 Thank you for choosing King Living. These Terms and Conditions of Sale (“Terms”) apply to all purchases of any King Living product including a made to order King Living product (“Products”) in store. These Terms fully supersede all oral or written understandings relating to such purchases.

1.2 In these terms “we”, “our”, “us,” “King Living” and similar expressions, refer to King Living USA Inc.

1.3 You, your, and similar expressions, refer to you, King Living’s customer or prospective customer.

 

2.  PLACING AN ORDER

2.1 King Living reserves the right to accept or reject in its absolute discretion at any time any order, or part of an order, for any product (each an “Order”) which it may receive from you.

2.2 Upon King Living’s acceptance of a deposit for your purchase of the Products, the Order becomes immediately binding on you, and you agree to all of the terms and conditions set out in such Order and these Terms.

2.3 By placing an Order, you acknowledge and agree that you have satisfied yourself that the Products meet your requirements and are suitable and sufficient for your intended purpose in all respects.

 

3.  PRICE; REFUND

3.1 The prices for Products are in U.S. dollars and not inclusive of any applicable sales tax. 

3.2 Applicable sales tax, along with cost of delivery and credit check or employment verification costs will be charged in addition to the price for Products and included in the total cost of your order at check out.

3.3 All additional costs payable by you pursuant to these Terms are payable to King Living promptly upon notice to you from King Living.

3.4 If we discover an error in the price of or total payment due for any Products you have ordered, we will inform you as soon as possible and request that you either (i) resubmit your Order at the correct price or        total payment due, or (ii) cancel the Order. If we do not receive a response from you within two business days, we will cancel the Order. Upon cancellation under this clause 3.4, we will refund to you the amount of any deposit or total payment that you have made.

 

4.  PAYMENT

4.1 A deposit is required at the time of placing the Order, except for Orders for clearance stock items, for which full payment is required as described in clause 4.4 below. We will notify you of the deposit amount required before we process the Order. 

4.2 We must receive full, cleared payment into King Living’s bank account as provided to you not later than five business days before final delivery. “Full Payment” means the price of the Products in addition to with all other amounts payable by you pursuant to these Terms, less the deposit paid. Upon receipt of full payment, the deposit paid will be applied by us towards payment for the Products. In these Terms, a “business day” means a day on which King Living’s bank is open and transacting business.

4.3 You may pay via bank transfer (EFT), credit or debit card, financing (subject to approval) or cash. Company or personal cheques are not accepted for the purchase of any Products.

4.4 For Products that are clearance stock items, full payment by cash or credit/debit card is required at the time of purchase. Financing is not available for the purchase of clearance stock items. 

4.5 You are responsible for any costs incurred in submitting payment for the Products, including, without limitation, bank account and transfer fees and related charges. All payments made to us must be net of such fees.

At the time that you place your Order and pay the deposit or full payment, we will issue you with a document called a “Sales Order” that specifies the details of your Order. The Sales Order becomes a proof of purchase after we receive your full payment.

 

5.  RISK AND TITLE

5.1 All risk in Products passes to you on delivery or pick-up as specified below. 

(a) If we deliver the Products, delivery occurs immediately after the Products are unloaded at the delivery address; and

(b) if you request to pick up the Products from a King Living warehouse or showroom, delivery occurs just prior to the Products being loaded onto transportation at the King Living warehouse, or once the Products are collected by you in the showroom, as applicable.

5.2 For showroom collections, our retail team cannot assist in loading the Products.

5.3 For warehouse collections, you are solely responsible (and therefore you accept the entire risk) for moving the Products from the warehouse pick-up point and loading into your vehicle. You are responsible for arranging for pick-up, loading, and receipt of picked-up Products. Our personnel are not authorized to assist you in doing so, and King Living will not be liable for any loss or damage incurred, if they do so.

5.4 All title in the Products passes to you upon receipt by King Living of the full payment for the Products and all other charges payable by you pursuant to the Sales Order and these Terms.

 

6.  DELIVERY OR PICK-UP

6.1 At the time of placing your Order, you must select either to have the Products delivered to you or be picked up by you.

6.2 If you select pick-up:

(a) Collection may be from our warehouse or a King Living showroom, subject to clause 2(b)and 6.2(c).

(b) Only certain Products can be collected from a showroom. Those Products are: accessories, cushions, ottomans (specifically only Crescent, Bongo, and not including Jasper or Plaza), timber-only side tables and Smart Pocket Accessories.

(c) For avoidance of doubt, Products which have been ordered online, King-Care™ Orders and Orders which have been specifically approved by King Living’s Customer Service department cannot be collected from a showroom but may be collected from a warehouse.

6.3 If you select delivery:

(a) The estimated date of delivery of the Products under your Order (“Delivery Date”) will be arranged with you in advance.

(b) Any date quoted for delivery is an estimate only.

(c) You may not change the Delivery Date without prior written consent from King Living. (Refer to Storage Options, below)

6.4 If your Order is ready for delivery sooner than the initial Delivery Date, and if you accept an earlier Delivery Date, then the earlier Delivery Date will become the new Delivery Date. These Terms will continue to apply to the new Delivery Date. In both cases, King Living will give you advance notification to confirm the Delivery Date.

6.5 We reserve the right, in our discretion, to make a partial delivery under any Order, at no additional cost to you. If we do not deliver all the Products in your Order at the same time, (i.e. if we make one or more partial deliveries) these Terms will continue to apply to each such partial delivery. If you request or otherwise cause King Living to make a partial delivery under any Order, you will be charged the full delivery charge for each such partial delivery.

 

7.  CORRECT DELIVERY ADDRESS; ACCESS TO PREMISES

7.1 If you select delivery of your Products, you must ensure that correct delivery address details are provided to King Living at the time you place your order. The address must be a physical address and not a P.O. Box. A person over the age of 18 years who is able to accept delivery must be available in person to accept the delivery of your order.

7.2 You must notify King Living in advance of any access restrictions at the delivery address that may impact delivery of the Products (e.g., if there are staircases or narrow passages).

7.3 You are responsible for ensuring adequate access and entry to the premises at the delivery address to allow for the delivery and layout of the Products, and/or removal of King Living furniture, as applicable.

 

8.  REMOVAL OF EXISTING KING FURNITURE

8.1 You may arrange for King Living to remove existing King Living furniture only from the delivery address free of charge, subject to the following:

(a) When you place your order for the Products being delivered, you must request for existing King Living furniture to be removed specifically at the time scheduled for the delivery, identifying in detail the King Living furniture to be removed; and

(b) King Living confirms to you in writing that free and complimentary removal of that King Living furniture will be possible.

King Living will advise you of the estimated date and time for disassembly and collection of this furniture, which may differ from the date of delivery of the Products

 

9.  ASSEMBLY UPON DELIVERY

9.1 If the Product will require assembly then we will offer you “Deluxe Delivery” (subject to clause 2) when you place your Order. Deluxe Delivery means that the Products will be assembled by our representatives at the delivery address at the time delivery is made. 

9.2 Deluxe Delivery is only available in selected metropolitan areas in and around your King showroom. The available area may change from time to time. When you advise of your delivery location we can confirm whether Deluxe Delivery is available at that location.

9.3 If Deluxe Delivery is not available at your delivery location, then:

(a) you may need to make your own arrangements for delivery or pick-up from our warehouse; and

(b) the Products will not be assembled by our representatives at the time delivery is made.

 

10.  STORAGE OPTIONS

10.1 Except for clearance stock items, you may defer the Delivery Date, and we will store your order at no extra cost for up to two weeks beyond the previously advised Delivery Date (“Free Storage”) provided that:

(a) your order is ready in full in our warehouse; and

(b) you request the Free Storage option by notifying us via the telephone number above at least 48 hours before the Delivery Date.

Your order will be stored by us until the next Delivery Date (which must be within two weeks). This deferral and Free Storage option is available once only, with respect to an order.

10.2 As an alternative to the Free Storage option offered in clause 10.1, and not including for clearance stock items, you may request deferred delivery and pay for up to 4 weeks of additional storage in our warehouse (“Extended Storage”). You must request the Extended Storage option by notifying us at least 48 hours before the Delivery Date. A fee quotation will be provided to you (based upon total volume off storage space occupied by your order) so that you can decide whether to accept the Extended Storage Option. Your order will be stored by us at your cost, until the next Delivery Date (which must be within four weeks). This deferral and paid Extended Storage option is available once only, with respect to an order.

10.3 After either one of the storage options in clauses 10.1 or 10.2 is exhausted, delivery must be received.

 

11.  DELIVERY

11.1 You must under each Sales Order accept delivery of or pick up the Products during one of the following specified periods (“Delivery Period”), which is either:

(a) 7 days from the Delivery Date for Products that are clearance stock items; or

(b) 14 days after the estimated Delivery Date for all other Products.

11.2 If you do not accept delivery of or pick up your Products within the applicable Delivery Period, then immediately at the end of the Delivery Period, King Living will:

(a) if you have paid the full purchase price, require that you identify a storage facility to which King Living shall promptly arrange delivery, and you hereby agree that you shall liable for all costs, fees, and expenses from such delivery and subsequent storage. Upon King Living’s delivery of your Order to the storage facility you have specified, King Living relinquishes all liability for the delivered Products. King Living may, solely without obligation and at its discretion, assist you with selecting a storage facility. Such assistance shall not in any reduce your liability for all costs, fees, and expenses for delivery to and storage at such storage facility.

(b) if you have not paid the full purchase price or if you don’t select and pay for all costs, fees and expenses for a storage facility, cancel the Sales Order by notice to you. Upon such cancellation, you hereby agree that you:

    • forfeit the full amount you have paid for the Products; and
    • will have no further claim to the Products or any rights under the cancelled Sales Order; and
    • King Living may at its sole discretion agree to sell the Products to you at a later date for the full purchase price without any discount or consideration for the amount forfeited.

 

12.  ORDERS WITHOUT A DELIVERY DATE

12.1 If you place an Order for Products and do not arrange a Delivery Date, and King Living in its absolute discretion agrees not to set a Delivery Date at that time, then you agree to the following:

(a) within six weeks of receipt by King Living of at least your full deposit, you must confirm your Order and mutually agree on an estimated Delivery Date from the dates that are offered by King Living for your Order at that time; and

(b) once the estimated Delivery Date is booked with King Living, if you then cancel, you will be subject to forfeit of amounts as specified in clause 13 below.

12.2 If you do not comply with the conditions in clause 1(a) above or choose to cancel your order in circumstances without agreement to a Delivery Date set pursuant to clause 12.1(a), King Living will rescind the contract for sale of the Products by notice to you by email and treat your failure to agree to an estimated Delivery Date as your cancellation of your original order. In these circumstances, you:

(a) agree to forfeit your deposit up to $500 to King Living as liquidated damages for King Living’s administrative costs and expenses incurred in handling and cancelling the Order; and

(b) agree to receive the balance of the deposit any remaining balance of payment you have made to your original method of payment; and

(c) will have no further claim against King Living under such cancelled Order, including without limitation to the Products or any services or compensation related thereto.

 

13.  CANCELLATION OF ORDER

13.1 Please choose your Products carefully, as we do not refund or exchange if you change your mind or make a wrong selection. We recommend that you check any proposed orders in person at a King Living showroom or online on the checkout page, whichever is applicable to you, before purchasing the Products.

13.2 If you cancel your Order, King Living will cancel the Sales Order by notice to you. In such case you understand and hereby agree as follows:

(a) If the manufacture of your Products has not commenced, you forfeit the deposit up to $500 as liquidated damages for King Living’s administrative costs and expenses incurred in handling and cancelling the Order; or if the manufacture of your Products has commenced, whether or not such manufacture is complete, you will forfeit the full deposit amount paid; and you will receive any remaining balance of payment you have made to your original method of payment; and

(b) you will have no further claim against King Living under such cancelled Order, including without limitation to the Products or any services or compensation related thereto; and

(c) King Living may solely at its discretion agree to sell the Products to you at a later date for the full purchase price, without any discount for the deposit amount forfeited.

13.3 Notwithstanding clause 13.2 above, if you cancel your Order for any clearance item, you will forfeit the full amount you have paid, without any refund, credit or other accommodation or compensation.

 

14.  DELAY IN DELIVERY OF YOUR FURNITURE

14.1 King Living will not be liable for any delay in performing any of its obligations including to the extent any such delay is caused by a Force Majeure Event (as defined below).

14.2 We will use reasonable endeavours to meet the Delivery Date. If we do not meet the Delivery Date, King Living’s sole obligation, and your sole remedy, will be for King Living to deliver the Products at another date reasonably determined at King Living’s reasonable discretion.

14.3 If at any time after receiving an Order from you, King Living, its supplier, subcontractor, manufacturer or any delivery carrier suffers a Force Majeure Event or an Insolvency Event (as defined below) that prevents or delays King Living from supplying some or all of the Products in an Order by the Delivery Date, King Living may, with no further liability or obligation to you, extend the Delivery Date until the end of such Force Majeure Event delivery, or terminate the order if the Force Majeure Event continues for a period of 14 days or more.

14.4 In this paragraph:

(a) “Force Majeure Event” means any act of God, fire, earthquake, flood, storm, strikes, lock-outs, bans, epidemics, pandemics (whether or not known at any relevant time) including Covid-19 (and other coronaviruses), other industrial disturbances, civil riot, government interference, by-laws, rules and regulations or order of any competent authority that is beyond King Living’s, its supplier’s, subcontractor’s, manufacturer’s or any carrier’s control and that could not reasonably have been expected to have known at the time King Living receives an order from you; and

(b) “Insolvency Event” means that: (i) the party becomes insolvent, enters into receivership, is the subject of voluntary or involuntary bankruptcy proceedings that are not dismissed within thirty (30) days of filing or makes an assignment for the benefit of creditors other than during the ordinary course of business; or (ii) a substantial part of the party’s property becomes subject to any levy, seizure, assignment or sale for or by any creditor or government agency; or (iii) anything having a substantially similar effect to any of the events specified in (i) and (ii) occurs to such party under the law of any jurisdiction.

 

15.  PRODUCT VARIATIONS AND SPECIFICATIONS

15.1 All Products are subject to acceptable quality within industry levels and standard manufacturing variations and tolerances in appearance and characteristics, as reasonably determined by King Living. Your Product may exhibit different characteristics to the sample in the King Living showroom or images on the King Living website. Please note that soft furniture may vary in appearance and characteristics such as creasing and the degree of softness. Colour swatches and samples are an approximate guide only as leather and fabrics vary in colour and texture. Leather will exhibit scars, marks and areas of differing density and shade, which are the hallmarks of genuine leather, which vary from product to product.

15.2 To the full extent permitted by law, we reserve the right to change dimensions, design and construction and to pattern match fabrics in King Living’s sole judgment, where these changes are limited to the internal changes to the Products and are not materially noticeable to an average user of the Products.

 

16.   CLEARANCE STOCK ITEMS – NO WARRANTY AND ACCEPTANCE OF DEFECTS

16.1 If you purchase a Product that is a clearance stock item, that Product is not covered by our warranty and you accept any defects and minor damage to that Product. Any scratches, marks, damage or other defects which do not materially affect the performance of the Product will be noted at time of purchase and will not form of the basis for any warranty provided by King Living in relation to that Product.

16.2 When you purchase a clearance stock item, you are deemed to have accepted any defect or damage at the time of purchase of that clearance stock item.

 

17.  PRODUCT SUITABILITY

17.1 Please choose carefully as King Living will not provide you with a refund or exchange simply because you have changed your mind, or the Products did not meet your expectations. King Living will not be responsible for ensuring that the Products are suitable for any particular purpose.

 

18.  WARRANTY

18.1 King Living offers a Product Warranty to cover certain King branded Products and selected components of those Products. The terms of the Product Warranty are separately published on our website as updated from time-to-time, and they are available here WARRANTY. Unless Products are materially non-functional or damaged from other than your use of the item or from damage before title to the Product passes to you, we will not provide to you under our Product Warranty any refund, exchange or credit for any damage with respect to such Products. King Living will not be liable to provide any refund, returns, exchange or credit where you or other third parties have caused or contributed directly or indirectly to any damage to the Products while they were in your possession or control. EXCEPT FOR THOSE SET OUT IN THE LINKED PRODUCT WARRANTY, KING LIVING MAKES NO WARRANTY WHATSOEVER WITH RESPECT TO THE PRODUCTS, INCLUDING ANY (A) WARRANTY OF MERCHANTABILITY; (B) WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE; (C) WARRANTY OF COMPLIANCE WITH LAW OR (D) WARRANTY AGAINST INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY, WHETHER EXPRESS OR IMPLIED, WHETHER ARISING UNDER LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE OR OTHERWISE, ALL OF WHICH ARE HEREBY DISCLAIMED.

18.2 Products and any services we provide to you come with guarantees that cannot be excluded under relevant U.S. of state law.

 

19.  LIMITATION OF LIABILITY

19.1 UNDER NO CIRCUMSTANCES WILL KING LIVING BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR ENHANCED OR ECONOMIC LOSSES OR DAMAGES, INCLUDING FOR LOSS OF PROFITS, UNDER OR ARISING OUT OF THIS AGREEMENT, WHETHER OR NOT SUCH DAMAGES WERE FORESEEABLE, WHETHER OR NOT KING LIVING WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT OR OTHERWISE) UPON WHICH ANY SUCH CLAIM MAY BE BASED. KING LIVING’S AGGREGATE LIABILITY ARISING OUT OF ANY SALES ORDER, WHETHER ARISING OUT OF OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE SHALL NEVER BE GREATER THAN THE RELEVANT AMOUNT TO BE PAID TO KING LIVING UNDER SUCH SALES ORDER. SHOULD THE REMEDIES AVAILABLE TO CUSTOMER HEREUNDER BE FOUND INADEQUATE OR TO HAVE FAILED IN THEIR ESSENTIAL PURPOSE FOR ANY REASON WHATSOEVER, YOU AGREE THAT RETURN OF THE AMOUNT PAID BY YOU TO KING LIVING UNDER THE APPLICABLE SALES ORDER WILL PREVENT THE REMEDIES FROM FAILING IN THEIR ESSENTIAL PURPOSE AND SUCH PAYMENT WILL BE CONSIDERED BY CUSTOMER AS A FAIR AND ADEQUATE REMEDY.

19.2 IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH STATES: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”

 

20.  INSPECTION OF DELIVERED PRODUCTS AND CLAIMS

20.1 For Products delivered to you, you agree to:

(a) inspect your Products when you take delivery of them; and

(b) make a written note on the delivery documentation presented to you at the time of delivery which describes any damage which you identify (in support of a delivery damages claim).

20.2 In all other cases, to make delivery damages claim you must notify King Living of any damage to the Products or shortages in delivery within 24 hours of receiving delivery using one of the following methods:

(a) Telephone: +1 833 546 4548;

(b) send an email to service@kingliving.com;

(c) visit our online help page: kingliving.com or

(d) speak with a King Living customer service representative at a King Living showroom during regular business hours.

20.3 When you notify us of a delivery damages claim, you must provide the Sales Order number, delivery date, and reasonable details of the non-conformity. If the notice does not contain these details, it may delay our ability to process your claim or we may not accept your claim. King Living is not liable for any claim of loss, damage or fault to the Products that you do not notify strictly in accordance with this clause.

20.4 Non-conformity of or defect or damages in any part of the ordered Products does not entitle you to reject any ordered Products which are free of such non-conformity, defect, or damages.

20.5 Notwithstanding the above, for any Product that is a clearance stock item, you are deemed to have accepted any defect or damage present at the time of purchase of that clearance stock item and you may not make a warranty claim that is based on defect or damage which was present on the clearance stock item at the time of sale. For additional details, please refer to clause 16.

 

21.  ACCURACY OF INFORMATION

21.1 While King Living aims to ensure that the information about its products and pricing is correct on its website and in its showrooms, the information on its website and items in its showrooms are for illustrative and information purposes only. While King Living has used its best endeavours to ensure that the information contained on and accessed through its website is correct and current at the time of publication, the website may contain technical inaccuracies or typographical errors. King Living does not accept any liability for any error, omission or defect in the information provided on its website or at the showrooms.

21.2 Where the price for a Product on the King Living website differs from the price displayed in a King Living showroom, the price displayed in the King Living showroom will be considered the correct price.

 

22.  INTELLECTUAL PROPERTY

22.1 You acknowledge that at all times all proprietary and intellectual property rights including, but not limited to, designs, techniques, methods of manufacture, photographs, specifications, artwork, text, patented or patentable inventions, copyrightable works, and registered designs remain the property of King Living.

22.2 You will not knowingly allow any intellectual property belonging to King Living to be reverse engineered, pirated or copied or breached in any other manner. King Living may be entitled to compensation for any loss of royalties, damages and/or costs arising from the breach of King Living's intellectual property rights.

22.3 If you provide any feedback or suggestions to King Living relating to the Products (“Submissions”), you acknowledges and agrees that: (i) such Submissions will be considered non-confidential and non-proprietary to you; (ii) King Living shall have the right, without limit in time and without payment to you , to use, copy, distribute, adapt, and disclose such Submissions for any purpose, in any way, and in any media worldwide now known or later discovered, including, without limitation, the right to create derivative works, make improvements, perform, and transmit such Submissions, and the right to transfer or sublicense such rights; (iii) King Living may have something similar to the Submissions already under consideration or in development; and (iv) you will not entitled to any compensation or reimbursement of any kind from us in connection with the Submissions under any circumstances.

 

23.  PRIVACY 

23.1 We may collect personal information in connection with King Living’s dealings with you. If so, we will abide by King Living’s Privacy Policy, a copy of which is available on King Living’s website at USA PRIVACY POLICY and by request.

 

24.  INDEMNITY 

24.1 To the full extent permitted by law, you agree to defend, indemnify, and hold harmless King Living, its affiliates, and their respective business partners, licensees, licensors, officers, directors, employees, and agents from and against all liability, loss or damage King Living may sustain, including costs, fees, and expenses (including attorneys’ fees), under any theory of law or equity that relate to any breach, act or omission of these Terms by you and your obligations under them, or your negligence or wilful misconduct.

 

25.  GOVERNING LAW

25.1 These Terms will be governed by and construed in accordance with the laws of the U.S.A. and the State of California. The parties submit to the non-exclusive jurisdiction of the federal and state courts located in Los Angeles County, California.

 

26.  SPARE PARTS AND REPAIRS

26.1 King Living offers a range of spare parts and associated repair services which may be available for purchase by you after the Product is supplied to you. Our ability to supply spare parts is not guaranteed and, in all cases, will depend on the availability of such parts and suitably qualified service technicians.

26.2 Spare parts and associated repair services may also (in our discretion) be available for purchase by the owner of a King Living Product who did not purchase that Product directly from King Living.

27.  GENERAL 

27.1 Subject to these Terms and to the full extent permitted by law, these Terms constitute the whole agreement between King Living and you for the purchase of the Products.

27.2 If any part of these Terms are found to be void, invalid or otherwise unenforceable, then that part will be deemed to be superseded by a valid, enforceable provision that matches the intent of the original provision as closely as possible. The remainder of these Terms continue to be enforceable and valid.

27.3 King Living may assign its rights under these Terms to any person or entity without your consent. The rights granted to you under these Terms may not be assigned without King Living’s prior written consent, and any purported assignment without such consent shall be null and void.

27.4 These Terms may only be modified by a written amendment signed by an authorized representative of King Living, or by the posting of a revised version on King Living’s website. These Terms supersede any proposal or prior agreement, verbal or written, and any other communications between You and King Living relating to the subject matter of these Terms.
